Terms & Conditions

These Terms and Conditions (the “Terms”) are a legal agreement between you and the Qanapi contracting entity identified in the section titled “Who You Are Contracting With” below (“Qanapi,” “we,” “us,” or “our”). These Terms govern your access to and use of our services, client software, and websites (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy, each of which is incorporated by reference. If you do not agree, you must not use the Services. If you have acquired software and do not agree, you must stop using and delete the software within thirty (30) days of acquisition, and you may request a refund of any fees paid for that software.
These Terms do not apply to third-party services resold by Qanapi, which are governed by the applicable third-party provider's terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

Definitions
“Your Data” means the files, content, plans, contracts, and other information that you provide to or process through the Services.
“Affiliate” means any entity that controls, is controlled by, or is under common control with a party.
“Order” means an order for the Services placed through Qanapi's ordering processes, including any applicable subscription plan and license model.
Your Data and Associated Permissions
When you use the Services, you provide us with Your Data. Your Data is yours. These Terms do not give us any rights to Your Data except the limited rights that enable us to provide the Services.
By accepting these Terms, you give us permission to perform the functions needed to operate the Services, including hosting Your Data, backing it up, and sharing it when you ask us to. The Services also provide features such as commenting, sharing, searching, image thumbnails, document previews, geo-fencing, and time and date controls. You give us permission to perform these functions, and this permission extends to our Affiliates and to the trusted third parties we work with to provide the Services.
Qanapi does not have access to Your Data in an unencrypted state, and Qanapi's administrators cannot provision access for themselves to Your Data. Your Data will reside within the Services in the region you nominate when you sign up.
Your Responsibilities
Your use of the Services must comply with our Acceptable Use Policy. Content in the Services may be protected by the intellectual property rights of others. Do not copy, upload, download, or share content unless you have the right to do so.
Qanapi may review conduct and content for compliance with these Terms and our Acceptable Use Policy. We are not responsible for the content that people share through the Services.
Help us keep Your Data protected. Safeguard your password, keep your account information current, and do not share your account credentials or give others access to your account.
You may use the Services only as permitted by applicable law, including export control laws and regulations. You must be at least 13 years old to use the Services, or older if required by the laws of your jurisdiction.
License Grant
As long as you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, personal, worldwide license to use the Services, up to the number of subscriptions purchased and in accordance with the license model or models purchased, solely to access the Services. To the extent any component of the Services is offered under an open-source license, we will make that license available to you, and its provisions may expressly override some of these Terms.
Updates to the Services are managed by Qanapi. You will use the then-current version of the Services, including any updates, as made available by Qanapi. To the extent your Affiliates use the Services, you warrant that you have authority to bind those Affiliates and will be liable to Qanapi if any Affiliate fails to comply with these Terms.
License Restrictions
Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Services, attempt to do so, or assist anyone else to do so. Except to the extent permitted by applicable law, you must not, and must not allow any third party to:
- modify, distribute, prepare derivative works of, reverse engineer, reverse assemble, disassemble, decompile, or attempt to decipher any code relating to the Services or Qanapi's technology;
- knowingly or negligently access or use the Services in a manner that abuses or disrupts the networks, security systems, user accounts, or services of Qanapi or any third party, or attempt to gain unauthorized access to any of the Services;
- transmit through or post on the Services any material that is abusive, harassing, obscene, slanderous, fraudulent, libelous, or otherwise unlawful;
- market, offer to sell, or resell the Services (this restriction is not intended to prevent you from using the Services in support of your own proprietary service offerings);
- if you are a Qanapi competitor for the relevant Services, use the Services directly or indirectly for competitive benchmarking or other competitive analysis, unless permitted by applicable law;
- transfer or sublicense the Services to an Affiliate or any third party;
- use the Services in conflict with the requirements of the Acceptable Use Policy or the applicable Order;
- remove any copyright or other proprietary notices on or in any copies of the Services;
- violate or circumvent any technological restrictions within the Services or specified in these Terms; or
- upload any Protected Health Information (PHI) to any Service that Qanapi has not designated as suitable for PHI.
Violations of License Restrictions
If you become aware, or receive notice from Qanapi, that any of Your Data violates these Terms or our Acceptable Use Policy, you must take immediate action to remove the applicable part of Your Data or to suspend the relevant user's access to the Services, as applicable. If you fail to comply with such a request, Qanapi may suspend the Services as described in the section titled “Term and Termination.”
Reservation of Rights
The Services are protected by copyright, trademark, and other United States and foreign laws. Except for the limited use rights expressly granted in these Terms, these Terms do not grant you any right, title, or interest in the Services, in others' content in the Services, or in Qanapi's trademarks, logos, and other brand features.
Copyright
We respect the intellectual property of others and ask that you do too. We respond to notices of alleged copyright infringement that comply with applicable law. Such notices should be sent to support@qanapi.com. We reserve the right to remove or disable content alleged to be infringing and to terminate the accounts of repeat infringers. Orders, Billing, and Subscriptions
Orders
You may order the Services using Qanapi's ordering processes. You are responsible for all fees and taxes on your Orders.
Billing
Payment is due for the Services for the term purchased, including any renewals, in accordance with the payment schedule of the applicable license model.
Subscriptions
A subscription may begin with a free trial. You may cancel before the end of the trial or period. If we do not provide an online cancellation mechanism, you may cancel by contacting support@qanapi.com. We will email you before the end of a free trial to remind you that it is ending and to give you an opportunity to cancel before the paid period begins. If you do not cancel, we will bill you at the end of the free trial, and your subsequent cancellation rights will follow the terms specific to the subscription.
You may increase your user subscriptions by adding end users, each identified by a unique email ID that provides that user with access to the Services. We will bill you from the date a new user is authenticated by the Services. Billing is monthly and is calculated daily on a pro-rata basis for new users. You are responsible for all applicable taxes, and we will charge tax when required.
Some countries have mandatory local laws regarding cancellation rights, and these Terms do not override those laws. Your cancellation rights, and the mechanism for exercising them, will be disclosed to you at or before the time you purchase a subscription. You may cancel the Services at any time or delete users from the Services. For example, consumers in the European Union have the right to cancel within 14 days of signing up for, upgrading to, or renewing a subscription.
Refunds
All purchases are final, with no right to a refund, except as expressly provided in these Terms or as required by law. Qanapi reserves the right, in its discretion, to suspend or terminate the Services, or any portion of them, for non-payment of fees.
Changes to Fees
We may change the fees in effect, but we will give you advance notice by a message to the email address associated with your account.
Term and Termination
Term
These Terms apply for the period of the Services set out in accepted Orders, including any renewals.
Termination
You are free to stop using the Services at any time. We reserve the right to suspend or terminate your access to the Services, with notice to you, if:
- you are in breach of these Terms;
- your use of the Services creates a real risk of harm or loss to us or to other users; or
- your payment method continues to decline after multiple attempts and remains outstanding for 90 days or longer.
We will not provide notice before termination where:
- you are in material breach of these Terms;
- providing notice would cause us legal liability or compromise our ability to provide the Services to other users; or
- we are prohibited from providing notice by law.
Either party may terminate the agreement immediately if the other party becomes insolvent or bankrupt, is liquidated or dissolved, or ceases substantially all of its business. Qanapi may terminate the agreement immediately if you breach the Acceptable Use Policy.
Effect of Termination
Upon termination, you will immediately discontinue all access to and use of the Services. Qanapi will not be liable for any damages resulting from termination, including any unavailability of Your Data arising from it.
Discontinuation of Services
We may discontinue the Services in response to unforeseen circumstances beyond Qanapi's control or to comply with a legal requirement. If we do, we will give you reasonable prior notice so that you can export Your Data from our systems. If we discontinue the Services in this way before the end of a fixed or minimum term you have paid for, we will refund the portion of the fees you have prepaid but for which you have not received the Services.
Services Provided “As Is”
We strive to provide excellent Services, but there are certain things we cannot guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, QANAPI AND ITS AFFILIATES, SUPPLIERS, AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED “AS IS.” WE DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some jurisdictions do not allow these disclaimers, so they may not apply to you.
Australian Consumers Covered by the Australian Consumer Law
If you are a consumer under the Australian Consumer Law, our Services come with guarantees that cannot be excluded under that law. You are entitled to a refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the Services repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure. To the extent permitted by applicable law, and despite any other provision of these Terms, Qanapi's liability arising from or in relation to a breach of any warranty or statutory guarantee that cannot be excluded will be limited, at Qanapi's option, to supplying the Services again or to paying the cost of having the Services supplied again.
Limitation of Liability
WE DO NOT EXCLUDE OR LIMIT OUR LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO. THIS INCLUDES ANY LIABILITY FOR QANAPI'S OR ITS AFFILIATES' FRAUD OR FRAUDULENT MISREPRESENTATION IN PROVIDING THE SERVICES. IN JURISDICTIONS WHERE THE FOLLOWING EXCLUSIONS ARE NOT ALLOWED, WE ARE RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF OUR FAILURE TO USE REASONABLE CARE AND SKILL OR OF OUR BREACH OF THESE TERMS. THIS PARAGRAPH DOES NOT AFFECT CONSUMER RIGHTS THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.
IN JURISDICTIONS WHERE EXCLUSIONS OR LIMITATIONS OF LIABILITY ARE ALLOWED, QANAPI, ITS AFFILIATES, SUPPLIERS, AND DISTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY. THESE EXCLUSIONS OR LIMITATIONS APPLY WHETHER OR NOT QANAPI OR ANY OF ITS AFFILIATES HAVE BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES.
IF YOU USE THE SERVICES FOR ANY COMMERCIAL, BUSINESS, OR RESALE PURPOSE, QANAPI, ITS AFFILIATES, SUPPLIERS, AND DISTRIBUTORS WILL HAVE NO LIABILITY TO YOU FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY. QANAPI AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USERS OF THE SERVICES.
OTHER THAN FOR THE TYPES OF LIABILITY WE CANNOT LIMIT BY LAW, OUR TOTAL LIABILITY TO YOU IS LIMITED TO THE GREATER OF TWENTY U.S. DOLLARS ($20) OR ONE HUNDRED PERCENT (100%) OF THE AMOUNT YOU HAVE PAID UNDER YOUR CURRENT SUBSCRIPTION WITH QANAPI.
Resolving Disputes
We want to address your concerns without a formal legal case. Before filing a claim against Qanapi, you agree to try to resolve the dispute informally by contacting us at support@qanapi.com. We will try to resolve the dispute informally by contacting you by email. If a dispute is not resolved within 45 days of submission, you or Qanapi may bring a formal proceeding.
Judicial Forum for Disputes
Subject to the section titled “Arbitration for United States Residents” below, you and Qanapi agree that any judicial proceeding to resolve claims relating to these Terms or the Services will be brought in the State of New South Wales, Australia. Both you and Qanapi consent to venue and personal jurisdiction in those courts. If you reside in a country whose laws give consumers the right to bring disputes in their local courts, this paragraph does not affect those rights.
Arbitration for United States Residents
If you are a United States resident, you also agree to the following mandatory arbitration provisions.
We both agree to arbitrate. You and Qanapi agree to resolve any claims relating to these Terms or the Services through final and binding arbitration by a single arbitrator, except as set out under “Exceptions” below. This includes disputes arising out of or relating to the interpretation, application, enforceability, revocability, or validity of this arbitration section.
Opting out. You may decline this agreement to arbitrate by submitting an opt-out notice to support@qanapi.com within 30 days of first registering your account. If you agreed to a prior version of these Terms that allowed you to opt out, your previous choice remains binding.
Arbitration procedures. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in the United States county where you live or work, in the State of Delaware, or in any other location we agree to.
Arbitration fees and incentives. The AAA rules govern payment of all arbitration fees. Qanapi will pay all arbitration fees for individual arbitration of claims of less than $75,000. If you receive an arbitration award that is more favorable than any offer we make to resolve the claim, we will pay you $1,000 in addition to the award. Qanapi will not seek its legal fees and costs in arbitration unless the arbitrator determines that your claim is frivolous.
Exceptions. Either you or Qanapi may assert qualifying claims in a small claims court in the State of Delaware or any United States county where you live or work. Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services, or to stop intellectual property infringement, without first engaging in arbitration or the informal dispute resolution process. If the agreement to arbitrate is found not to apply to you or your claim, you agree to the exclusive jurisdiction of the state and federal courts in the State of Delaware to resolve your claim.
No class actions. You may resolve disputes with us only on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed. If this paragraph is held unenforceable, the entirety of this arbitration section will be void.
Governing Law
If the billing address you provide to us is in the United States of America, these Terms are governed by the laws in force in the state in which that address is located, without regard to its conflict-of-laws principles.
If the billing address you provide to us is outside the United States of America, these Terms are governed by the laws in force in New South Wales, Australia, without regard to its conflict-of-laws principles.
We recognize that some countries, including members of the European Union, have laws that require agreements to be governed by the local laws of the consumer's country. This section does not override those laws.
Entire Agreement
These Terms constitute the entire agreement between you and Qanapi with respect to their subject matter and supersede and replace any prior or contemporaneous agreements or terms and conditions applicable to that subject matter. These Terms create no third-party beneficiary rights.
Waiver, Severability, and Assignment
Qanapi's failure to enforce a provision is not a waiver of its right to do so later. If a provision is found to be unenforceable, the remaining provisions will remain in full effect, and an enforceable term will be substituted that reflects our intent as closely as possible. You may not assign any of your rights under these Terms, and any attempt to do so will be void. Qanapi may assign its rights to any of its Affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.
Modifications
We may revise these Terms from time to time to better reflect changes to the law, new regulatory requirements, or improvements and enhancements to our Services.
If an update affects your use of the Services or your legal rights, we will notify you before the update's effective date by an email to the address associated with your account or by an in-product notification. Updated Terms will take effect no fewer than 30 days after we notify you. If you do not agree to the updates, please cancel your account before they take effect. Where applicable, we will offer you a pro-rata refund based on the amounts you have prepaid for the Services and your account cancellation date. By continuing to use or access the Services after the updates take effect, you agree to be bound by the revised Terms.
